UGC usage rights clause you can adapt
Copyable plain-English licensing language covering channels, term, territory, exclusivity, and portfolio rights — plus the add-on lines for paid usage.
When to use this
Paste into your proposal, invoice, or agreement so the licence is unambiguous before you shoot. Not legal advice — have a professional review anything substantial.
LICENCE Creator grants Brand a non-exclusive, non-transferable licence to use the delivered content on [CHANNELS] for [TERM] from the date of delivery, in [MARKET]. NOT INCLUDED (quoted separately) • Paid media usage (running the content as an advertisement) • Whitelisting or spark ads run from Creator's handle • Use beyond [TERM] • Use outside [MARKET] • Category exclusivity • Raw or unedited footage RETAINED RIGHTS Creator retains copyright in the content and the right to display it in Creator's portfolio, media kit, and social channels. EDITS Brand may trim the content for length and add captions or brand elements. Brand may not materially alter the message, splice the content with other footage, or transfer this licence to a third party without written consent. RENEWAL This licence expires at the end of [TERM]. Renewal is available at the then-current rate. Brand agrees to cease use of the content on expiry unless renewed.
What to fill in
- [TERM]
- Licence length, e.g. 12 months from delivery.
- [MARKET]
- Territory, e.g. United States, or Global.
- [CHANNELS]
- Which channels the base rate covers.
Make it work harder
- The "not included" list is what converts a vague argument into a line item you can invoice.
- Always keep portfolio rights. Without them the job loses most of its marketing value to you.
- Log the expiry date when the deal closes — renewal outreach is the highest-converting message you'll send.
