Terms of Service

Effective July 24, 2026

These terms are an agreement between you and sproutUGC LLC, a Missouri limited liability company ("sproutUGC", "we", "us"), governing your use of the sproutUGC application and website. By creating an account or using the service, you agree to them.

The service

sproutUGC is a business workspace for UGC creators: a brand-deal pipeline, invoicing, finances, portfolio pages, creator tools, and client-facing brand portals. Features vary by plan, and we may add, change, or retire features as the product evolves.

Your account

You're responsible for your account credentials and for activity under your workspace, including teammates you invite and client contacts you give portal access to. Keep your email up to date — it's how we reach you for security and billing.

Your content

Everything you put into sproutUGC — contacts, deals, files, invoices, portfolio content — remains yours. You grant us only the rights needed to store, process, and display it in order to run the service (including showing it to the clients and teammates you deliberately share it with). You're responsible for having the rights to the content you upload and share.

Our intellectual property

The sproutUGC software, website, design, branding, and underlying technology are our property (or licensed to us) and are protected by copyright, trademark, and other laws. Using the service gives you a limited, non-exclusive license to access and use it for your own business — it doesn't give you any ownership in it. You may not copy, modify, reverse-engineer, resell, or build a competing product from the service or its underlying code.

Payments between you and your clients

Invoicing and payment features connect to your ownStripe or PayPal account. Payments settle directly between you and your client — sproutUGC is not a party to those transactions, never holds your funds, and isn't responsible for disputes, refunds, or chargebacks between you and your clients. Your use of Stripe or PayPal is governed by their terms.

Subscriptions & trials

Paid plans are billed through our payment processor. Trials convert or expire as described at signup; you can cancel anytime and keep access through the end of the paid period. We don't offer partial-period refunds unless required by law.

Acceptable use

Don't use sproutUGC to break the law, infringe others' rights, send spam, upload malicious files, probe or disrupt the service, or access data that isn't yours. We may suspend accounts that put the service or other users at risk.

Feedback

If you send us feedback, feature ideas, or suggestions — through support, a call, or just using the product — you're giving us the right to use them however we want, without any obligation to credit or compensate you. We appreciate it; we just don't want fuzzy ownership questions over what our own users help us improve.

AI features

AI-assisted tools generate drafts from the inputs you provide. Review them before you use them — you're responsible for what you send to brands and clients.

Disclaimers

The service is provided "as is" without warranties of any kind. Tax and finance features (including tax set-aside estimates and quarterly summaries) are bookkeeping conveniences, not tax, legal, or accounting advice — confirm figures with a professional.

Limitation of liability

To the maximum extent permitted by law, sproutUGC's total liability for any claim arising out of the service is limited to the amount you paid us in the twelve months before the claim. We're not liable for indirect, incidental, or consequential damages, or for lost profits, revenue, or data.

Termination

You can stop using the service at any time, and delete your workspace yourself from Settings. Deletion takes effect immediately and the data is permanently erased after a 30-day recovery window — see our Privacy Policy for exactly what's removed and when. We may suspend or terminate accounts that violate these terms, with notice where practical.

Changes to these terms

We may update these terms as the product evolves. For material changes we'll post the new version here with a new effective date; continued use after that date means you accept the updated terms.
